Do you agree to the following? ConceptGrinders.com and Client mutually agree as follows: DESCRIPTION OF SERVICES -- ConceptGrinders.com will provide Internet consulting and support services designed to create an online website capable of converting site visitors within the first 30 days. Any additional support services desired by Client will be discussed before initiation, and are subject to Client approval. FEES -- The initial fee for ConceptGrinders.com services is $498, and includes one month of support, including one scheduled phone call each week, plus unlimited email support. New clients will also receive a free mini-website or landing page, plus all required hosting fees and tech support services. Additional consulting services are available at $80 per hour, billed in 15 minute increments, with Client approval. BILLING -- Each month client will be billed for any additional services they have authorized. Payments more than 30 days overdue will result in temporary account inactivation. Accounts more than 45 days overdue are subject to cancellation. RELATIONSHIP OF PARTIES -- It is understood by the parties that ConceptGrinders.com is an independent contractor with respect to the Client, and not an employee of the Client. PERFORMANCE OF SERVICES -- The manner in which services are to be performed and the specific hours to be worked by ConceptGrinders.com shall be determined by ConceptGrinders.com. HOSTING -- ConceptGrinders.com offers its fully managed hosting services on a best effort basis, without any warranty with regards to potential service interruption due to hacking, system failure, viruses, worms, etc. NOTICES -- All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when received by the designated recipient. CHANGES -- ConceptGrinders.com and Client may change this agreement, if the amendment is made in writing, and agreed to by both parties. ENTIRE AGREEMENT -- This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreements whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. SEVERABILITY -- If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid and unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. WAIVER OF CONTRACTUAL RIGHT -- The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. APPLICABLE LAW -- This Agreement shall be governed by the laws of the State of Georgia.
